Job Description – Associate Corporate Counsel

The Associate Corporate Counsel will provide comprehensive, hands-on legal counsel to the Company and its management. As part of the Legal and Compliance Department, this corporate generalist will provide advice on matters relating to CCHS and its subsidiaries as assigned by the General Counsel including, but not limited to, drafting and reviewing commercial agreements, corporate governance, marketing and privacy compliance, assisting with litigation management/resolution, M&A, employment matters, and engaging/directing external legal counsel.
 
The position will serve as a valued business partner in providing legal advice to various departments, including Marketing, Business Development, and Operations. This is an excellent opportunity to learn about all aspects of CCHS’s business, enhance legal and leadership skills, and develop an industry-wide perspective. This position reports to the General Counsel and is based in Boca Raton, FL.
 
Experience in one or more of the following areas:
 
Home warranty or insurance industry experience preferred. Ideally have a background in home warranty with product knowledge and familiarity with the state and federal regulatory environment and laws that impact home warranty products and services. Ability to comprehend, summarize and communicate complex information in a highly regulated industry, effectively and efficiently to business partners and legal colleagues.
 
Privacy/Marketing/Advertising Law: Some background in privacy, marketing or advertising law with experience working on matters involving, FTC, FCC, advertising rules, CAN-SPAM, TCPA, California's CCPA, and other similar regulations and laws. Counsel on e-commerce, brand marketing, and social media initiatives. Support Marketing in drafting and reviewing privacy notices, website terms and conditions, and related documents and agreements;
 
Essential Duties and Responsibilities
 

Researching, reviewing, and providing counsel and advice regarding various warranty regulations, privacy laws, marketing laws, and best practices. Incorporates and applies federal and state laws and regulations, as well as new and emerging areas of the law such as e-commerce and privacy, to business plans and objectives.
Experience with drafting, negotiating and reviewing a vast array of commercial contracts, marketing agreements, advertising content, promotions, product terms and conditions and related documents. Advises management on legal and business risks to ensure smart business and best practices.
Oversight over the licensing requirements and regulations affecting a national company. Monitors the external environment to identify and address legal trends. Identifies potential regulatory and compliance risks and partners with subject matter experts to address. Ensures compliance with applicable Company policies and procedures.

 
Mandatory Requirements

Juris Doctorate (JD) with strong academic credentials; member in good standing of the FL State Bar, or the ability to be admitted in FL as Registered In-house Counsel;
Minimum 3 years of experience as a practicing attorney with a corporate in-house legal department and/or private law firm;
Ability to interact comfortably with executives and senior management; strong verbal and analytical skills; exceptional interpersonal skills; a commitment to professionalism; and a solid business acumen;
An open mind and team-oriented attitude; flexibility as to the types of projects assigned; willingness to work in an unstructured environment; and the ability to manage several simultaneous projects under deadline pressure are required;
Excellent interpersonal, and oral and written communication skills with the ability to effectively explain complex legal issues to non-lawyers;
Experience negotiating a vast array of commercial agreements.
Ability to read, write, and fluently speak and understand the English language
Excellent PC skills, including proficiency with Microsoft Office Suite.
