Associate General Counsel

Our client, a very stable, privately owned investment management and holding company located in Pittsburgh, PA, has retained us to identify a corporate and transactional attorney with at least 7+ years of legal experience (law firm and in-house experience preferred) to provide legal services on a wide variety of sophisticated transactional, corporate and compliance matters.  
 
Candidates must have outstanding academic credentials, excellent law firm training and significant hands-on experience in a variety of areas including familiarity with private fund structuring, governance and operations; investments in private equity, venture capital and other alternative assets; securities and other regulatory schemes; and general corporate matters (e.g., financing, labor laws, real estate, corporate compliance, and contract negotiation). Having a M.B.A., LL.M. or CPA license/tax experience, including working with tax exempt entities, is a plus.  This collaborative environment requires candidates to possess strong interpersonal skills as well as excellent verbal and written communication skills to communicate effectively with the company’s investment team and C-suite.  
 
As a part of this high functioning organization, the candidate also will need to demonstrate exceptional analytical skills, exhibit a high level of integrity and maturity and be a self-starter who can work independently with little supervision.  This attorney will provide first chair legal support for the transactions and investments of the company, shareholders and other advisory clients; ensure compliance with all relevant regulatory requirements; anticipate and counsel on issues of strategic importance; and contribute to the corporate strategy planning process.  The position will report to the head of this company’s small legal department.  This is an excellent opportunity to perform sophisticated work for a well-respected and financially sound organization that offers very competitive compensation and benefits.
