The General Counsel manages a team of associate counsel and paralegals to direct and oversee the organization’s legal activities and functions, ensuring legal posture is developed and maintained. He/she develops and executes process for the provision of legal services required by the organization and maximizes mitigation against legal risks. Moreover, the General Counsel cultivates extraordinary expertise in the arena of Character Intellectual Property protection and ensures the company is advised on best practices for brand(s) security in the United States and globally. 
 
The General Counsel is responsible for strategic development and managing the execution of a broad range of legal related activities that affect the entire organization.  The General Counsel has the authority to recommend changes to organizational process, to work with departments and divisions to create and implement these processes, and to initiate and coordinate investigations into potential violations of law, regulations, or corporate policies.  The General Counsel is expected to establish strong relationships with external service providers and relevant industry associations.  Finally, the General Counsel is responsible for advising on and implementing a best-in-class corporate practice.
 
This position requires the maintenance of productive and positive working relationships with all personnel at all levels of the organization. The General Counsel reports directly to the President and works closely with the President in the final resolution of legal issues or concerns.  The General Counsel is considered a key member of the organization’s central leadership
 
Essential Duties and Responsibilities: “Essential functions” are primary job duties that incumbents must be able to perform unassisted or with some reasonable accommodation made by the employer.
 

Protects the organization’s brands by utilizing best legal practices in Intellectual Property law, brand protection techniques and brand management;
Provides officers, directors and other Company personnel with advice and guidance in identifying the critical problems to which the application of legal principals yields the greatest opportunities for minimizing risks and maximizing profits;
Maximizes the value of CCA and B’s intellectual property portfolios and helps the Company to capitalize on investments by proactively auditing, analyzing and conducting due diligence related to their assets;
Protects company assets through the proper management of asset files and adherence to company policy with regard to information security and management;
Recruits, leads, and develops the Legal Team; makes recommendations with regards to hiring, promotion and ongoing performance management; promotes teamwork, innovation, sharing and communication among team members; Manages and mentors team members;
Supervises global IP enforcement initiatives, including antipiracy, data privacy and security; Provides counsel for strategic IP initiatives, audits and due diligence;
Advises, redlines, drafts, and/or negotiates on the terms of a wide range of entertainment industry agreements including but not limited to consumer products and publishing license agreements, talent agreements, services agreements, corporate contracts, term sheets, non-disclosure agreements and all documents requiring legal oversight between CCA and B and third parties;
Provides counsel on product development deals, outsourcing and consulting contracts;
Reviews and controls department budget to support systematically planned programs of legal actions or defenses and to assure optimum deployment of resource within approved budget;
Drafts and issues (or oversees the drafting of such) cease and desist letters on behalf of the company;
Ensures all corporate filings (including IP filings, tax filings, etc.) are up to date and timely;
Advises CCA and B regarding M&A and corporate governance;
Provides counsel for risk assessment and portfolio management issues;
Serves as liaison with carefully selected outside legal firms; Directs, monitors and evaluates the activities of outside legal firms;
Develops, negotiates and facilitates trademark, copyright and patent licenses; Responsible for all copyright and trademark protections throughout the United States and abroad;
Works with outside counsel in prosecuting applications for trademarks, copyrights and patents which may compete with current brand(s);
Travels to take part in business meetings, trials, depositions and other legal proceedings;
Keeps fully informed on all legislation affecting the organization's operations and of all new developments in corporate legal matters; Keeps all levels of management informed of applicable new laws and of the progress and results of court cases;
Advises on best practices regarding employment issues;
Develops and modifies policies and procedures to conform to legal requirements;
Advises on advertising, marketing, promotions, sweepstakes and FTC issues; and
Reviews marketing materials to ensure legal compliance and brand protections.

 
Knowledge, Skills and Abilities Required:

Minimum of 8+ years of legal experience practicing as an attorney in the fields corporate, IP or complex commercial litigation; with a minimum of 4+ years as a General Counsel, Assistant General Counsel or directly advising such is required; Familiarity, understanding or experience with entertainment-based contracts is preferred;
Proven leadership skills in developing, directing, organizing, managing, coordinating and monitoring complex processes; Strong leadership abilities and the ability to create a positive view of the company in the marketplace;
Ability to utilize active listening skills and follow directions (hear, process and understand);
Ability to understand, evaluate and make judgment on complex and high impact legal issues; Demonstrated ability to identify, analyze and resolve complex problems;
Excellent analytical skills and the ability to discern the practical application of legal requirements; Curious and willing to tackle matters outside of area of expertise when needed;
Strong attention to detail and accuracy;
Ability to rely on extensive experience and judgment to plan and accomplish goals;
Ability to manage multiple complex projects simultaneously while working under pressure to meet deadlines;

Technically proficient with intermediate to advanced knowledge in Microsoft Outlook, Excel and Word; Basic knowledge in Microsoft PowerPoint preferred.
Strong ethical standards and keeps company information confidential;
Comprehensive knowledge of contract law and intellectual property rights, as well as a mastered capability for legal analysis and reasoning, is required;
Understands best practices for protection of intellectual property;
Familiar with national and international laws which effect the entertainment, toy, publishing and gaming industries, as well as general industry customs and practices;
Possesses up-to-date knowledge on legal matters and familiarity with state, federal and local laws;
Possess deep knowledge regarding corporate litigation, compliance, risk management, ethics, lobbying, IP protection and the like;
Demonstrated ability to effectively negotiate both internally and externally utilizing exceptional verbal and written communication skills;

 
Education and Certifications
 

Bachelor’s Degree and Juris Doctor from an ABA accredited law school required;

Must be admitted to practice law in the State of Georgia or an alternate state offering comity with the State of Georgia.

 
Working Conditions:
 

Normal office environment with little exposure to excessive noise, dust, temperature and the like.
Position requires sitting for extended periods of time, standing, visual acumen and manual dexterity for working with computer key boards.
Position routinely requires non-standard hours in excess of 40 hours per week in order to meet requirements of position.
Must be able to travel both domestically and internationally up to 20% of the time.
