Transactional Lawyer for Global Professional Services Firm (NoVA)

Our client, a multi-national professional services firm, seeks to hire an additional transactional attorney (3-5 yrs.) for its Commercial Team. This attorney will join a group of six others who we placed on this team within the OGC over the past three years. The Commercial Team is responsible for handling sophisticated professional services agreements, master service agreements, engagement letters, statements of work, non-disclosure agreements and other associated matters for Fortune 500 clients across various industry sectors. You will work hand-in-hand with internal business teams, subject matter experts and risk management and assist the more senior attorneys on the team. The group also provides support for M&A transactions and supervises contract specialists in the contract review process.

Qualifications: 3-5 years of transactional experience (M&A, corporate or project finance or complex commercial agreements) in either an AmLaw top 200 firm or a corporate legal department; an understanding of commercial terms and experience drafting and negotiating complex agreements; familiarity with highly regulated industry sector clients (e.g., health care, financial services, or energy) would be ideal; the ability to balance legal risks and business opportunities; executive presentation skills; and the ability to advise and influence senior business leaders and other stakeholders.

Note: This is not template driven work, and smaller dollar value agreements/vendor contracts are handled by the contracting dept. Our client’s attorneys handle very complex transactions and no two agreements are the same. Thus, the ideal candidate will be intellectually curious, agile, a creative thinker and excited by complexities. Prior experience with professional services agreements/MSAs is not required, as our client provides one of the best and most comprehensive training programs we have seen for its new lawyers.
