The New York office of Squire Patton Boggs is actively seeking a mid-level Corporate Associate with a concentration on M&A, securities matters and corporate governance to join its sophisticated global corporate practice, working with a global client base that spans multiple industries in an office known for its excellent atmosphere and great people. Responsibilities:
Advise firm clients on mergers and acquisitions, corporate restructurings, joint ventures, and other corporate transactional matters
Assist clients with US securities law matters, including preparation of 34 Act compliance documents and public and private offering documents
Ability to seek out work and develop relationships across multiple offices while being a self-starter and creating opportunities where available
Knowledge, Skills & Experience:
At least 4-6 years of experience handling mergers and acquisitions, securities, and other corporate transactional matters such as auctions, tender offers, carveout transactions, joint ventures
Experience preferred but is not required in US securities transactional and regulatory matters, including 34 Act compliance, public and private debt and equity offerings, proxy statement preparation and/or annual meeting cycle management, and public company governance matters
Excellent verbal and written communication abilities, grammar, and organizational skills
Ability to complete assigned tasks with attention to detail; work with colleagues under pressure and meet deadlines
Capable of multi-tasking with a strong attention to detail in a fast-paced atmosphere
Demonstrated capability to work in a team environment, to exercise sound, practical judgment and meet client needs
Committed to providing the highest quality legal service
Academic and Professional Qualifications:
U.S. Juris Doctor degree or equivalent foreign law degree
Licensed to practice in the State of New York
