Associate General Counsel for Industry Leader in Cloud-Based Software

Our client, a publicly-traded company servicing the healthcare and life science industry sectors, seeks to hire an Associate General Counsel (“AGC”) with significant experience as a transactional attorney.  This company and its affiliates are empowering data-driven healthcare, and they support 24 of the top 25 U.S. health plans and 22 of the top 25 global pharma companies. This is a newly created position (due to increased workflow) to help lead and manage a team of transactional lawyers.
 
Role & Responsibilities: This AGC will be the “right hand” to the General Counsel on transactional matters. You will have significant interaction with internal clients and senior executives and extensive cross-functional collaboration with all business groups that touch the sales cycle; work closely with the executive team on all strategic transactions, including strategic partnerships, product development, vendor, and client contracts for pharma consulting, data acquisition and technology licensing; lead and cultivate a team dedicated to contracting matters in the Legal and Compliance Department; and guide the Product and Sales teams on contract interpretation, standardizing contracts, dispute resolution, risk allocation and other legal matters. 
 
Candidate Profile Sought: An accomplished in-house lawyer with 12+ years of strong complex commercial drafting and negotiating experience. You must have the ability to juggle multiple projects and effectively close transactions on tight deadlines and to lead and mentor attorneys and/or other legal staff. Consensus building across groups is essential, as is the ability to work effectively with all levels of management and staff. High volume commercial transactions experience with a sales-driven, software or other technology company is a plus, and business-focused legal counsel in the life sciences or pharma space is ideal. *Local candidates only please.
