Senior Legal Counsel

ANSYS, Inc. (www.ansys.com), a publicly-traded global leader in engineering simulation, has retained Carpenter Legal Search, Inc. (“CLS”) to identify a Senior Legal Counsel (Products & Cloud). 
Overview: As an important member of the Legal and Intellectual Property (IP) team at Ansys, the candidate will be a seasoned attorney working with business units, IT, and professional service and sales organizations to support all aspects of cloud services, IT, and product development. The product attorney will work closely with the privacy, IP, trade compliance and other members of the Legal and IP department to provide integrated support, including negotiation of cloud services, IT and other agreements, coordination of integrated legal review of new products and product features, including for compliance with data protection, export control, localization, open source and other third-party licensing terms and other applicable requirements. The role functions as the focal point of contact within the Legal and IP department for SaaS, PaaS, IaaS, and eCommerce activities, including support for the development of a developer ecosystem enabling a seamless user experience for cloud products and services, and for issues related to product liability risk management in product development generally. This is a newly created position reporting to the Associate General Counsel, IP & Technology.
Key Duties and Responsibilities:

Negotiate cloud and IT services agreements to support the Ansys cloud and other businesses
Support product managers and developers by providing integrated legal review of new product and product features, including for compliance with regulatory and third party licensing requirements
Act as a primary point of contact within the Legal and IP department for SaaS, PaaS and eCommerce activities, and support the development of a seamless user experience for cloud products and services
Coordinate with the privacy, IP, trade compliance and other members of the legal department to translate risk management requirements into the product development process
Assist M&A team with product related matters, including product due diligence and integration
Supporting SaaS product teams
Support business units and marketing department in building a developer community for Ansys cloud products and cultivating a vibrant developer ecosystem to enhance customer use experience of Ansys software

Required Experience and Qualifications: 

JD degree or equivalent-Admission to the Bar of the Commonwealth of Pennsylvania or other state
A minimum of 5 years of relevant experience as a product attorney; relevant in-house experience with a SaaS company is required
Experienced in embedding inside R&D teams and providing early risk management guidance and advice
Familiar with product-related regulatory compliance requirements such as export control, intellectual property, privacy, standards, and customized go-to-market terms
Experienced with compliance and regulatory requirements for cloud applications or software as a service (SaaS)

Preferred Qualifications and Skills:

Experience with supporting M&A product due diligence
Experience with software products for any of engineering, physics-based, CAD, or simulation applications
Have some knowledge about interactions with regulatory and standard setting bodies
Experience with cultivating a developer ecosystem leveraging cloud based developer community
