Attorney, Private Funds

 Summary:
ACORE Capital is seeking a Private Funds & Corporate Counsel with 6+ years of experience to join our legal team. The Private Funds & Corporate Counsel is responsible for all fundraising and corporate legal matters, including fund formation, separately managed accounts, corporate governance and corporate management. This role is headquartered in either our San Francisco or New York office and reports to the General Counsel, Managing Director.
 
Responsibilities:
·       Develop, document, launch and maintain private equity funds
·  Review and negotiate investment management agreements with separate accounts
·       Work closely with the capital raising team on investor communications and marketing materials, and with the operations team on reporting
·       Manage regulatory issues related to private funds
·       Manage outside counsel on capital raising activities
·       Develop policies related to the launch and maintenance of private funds to capture knowledge and improve processes
·       Manage corporate governance, advise the board, and take ownership of corporate matters
·       Manage ACORE and its subsidiaries’ corporate existence, licenses and registrations

·       Well organized, high energy self-starter, must work well in a team environment, especially with other senior level employees
·       Combine and present complex ideas simply and understandably to employees at all levels and to our management team and board
·       Create clarity and bring focus and direction to the most important priorities to promote the biggest impact, avoid the most risks, and provide the greatest return on the investment of time and resources
·       Outstanding reputation of professional integrity and have the potential to be immediately, personally credible within the organization and in the investment community
 
·       Industry experience including in-house experience within the real estate industry or with credit funds is a plus.
