Business Law Special Counsel at ​Foley & Lardner LLP (Milwaukee, WI)

Foley & Lardner LLP is seeking a senior-level lawyer to join the Business Law Department in our Milwaukee office as a Special Counsel. This is a full time, non-partner track position supporting our Finance & Financial Institutions Practice Group and Energy Industry Team. Qualified candidate must have at least ten years of experience representing clients in the development, acquisition, sale, finance, and leasing of major infrastructure projects and equipment assets, with particular emphasis on the renewable and clean energy sectors. Our ideal candidate will have extensive experience in: representing lenders in the financing and financial structuring of power and other industrial projects, and tax equity transactions in the renewable energy space; representing independent developers, utility affiliates, and other equity participants in transactions involving a broad array of electric generation technologies, including wind, biomass, hydro, nuclear, waste-to-energy, and fossil fuels, as well as transactions involving the transportation and distribution of natural gas, the production of synthetic natural gas from coal, and biomass-to-biofuels technologies; and preparing and negotiating complex transaction documents including power purchase agreements, development and joint venture agreements, restructuring agreements, asset and stock purchase agreements, equipment purchase and lease agreements, leveraged lease agreements, and credit agreements, among others. We have a growing energy practice with aggressive growth plans, and we are seeking a well-rounded, dynamic, highly-motivated lawyer, who has demonstrated an ability to compete and prosper in highly-competitive and complex client driven environments, to assist with advancing the long-term strategic objectives of the Energy Industry Team.
